The following terms and conditions (these "Terms of Use") govern any and all use of www.geckorobotics.com (the "Site"). The Site is owned and operated by Gecko Robotics, Inc. ("Gecko"). The Site is offered subject to your ("User" or "You") acceptance of all of the terms and conditions contained herein and all other rules, policies, and/or procedures that may be published from time to time on the Site by Gecko. BY USING OR ACCESSING ANY PART OF THE SITE, YOU AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN; IF YOU DO NOT AGREE, DO NOT USE OR ACCESS THE SITE.

Modification of Terms

Gecko reserves the right, in its sole discretion, to modify or replace any of the terms or conditions of these Terms of Use at any time. It is User’s responsibility to check these Terms of Use periodically for changes. User’s continued use of the Site following the posting of any changes to these Terms of Use constitutes acceptance of those changes.

Site Usage

Subject to the terms and conditions of these Terms of Use, the Site is solely for User’s personal use. Users are prohibited from using the Site for any unlawful purposes or activities that could harm Gecko or its affiliates, including but not limited to engaging in fraudulent activities, distributing harmful or malicious software, infringing intellectual property rights, or violating any local, state, national, or international laws or regulations. Additionally, Users may not attempt to gain unauthorized access to any part of the Site, other accounts, or computer systems connected to the Site through hacking, password mining, or any other illegitimate means. Users must not interfere or disrupt the integrity or performance of the Site or the data contained therein. Gecko reserves the right to change, suspend or discontinue the Site at any time, including the availability of any feature, database, or content. Gecko may also impose limits on certain features and services or restrict User’s access to parts or all of the Site without notice or liability.

User Certification

User certifies to Gecko that if User is an individual (i.e., not a corporation), User is at least 18 years of age. User also certifies that it is legally permitted to use the Site, and takes full responsibility for its use of the Site. These Terms of Use are void where prohibited by law, and the right to access the Site is revoked in such jurisdictions.

Intellectual Property

Gecko owns all the intellectual property related to the Site, including trademarks, design, layout, and content. Everything You see on the Site is protected and owned by Gecko or a third party that has given Gecko permission to use it. Without Gecko’s written permission, or unless allowed by these Terms of Use or applicable law, You cannot copy, modify, or use any of this content or the code behind the Site for commercial purposes.

Indemnification

You agree to indemnify and hold harmless Gecko, its parents, subsidiaries, affiliates, customers, vendors, officers and employees from any liability, damage, or cost (including reasonable attorneys’ fees) from any claim or demand made by any third party due to or arising out of (1) Your access to or use of the Site or any content on the Site, (2) violation of these Terms of Use by You, or (3) the infringement by You of any intellectual property or other right of any person or entity.

Disclaimer of Warranties

Gecko has made efforts to ensure the information on the Site is accurate and up-to-date, but does not guarantee its reliability or completeness and is not responsible for any errors. You use the Site at your own risk. The Site and its content are provided "as is" without any warranties. Gecko and its partners are not liable for any damages or losses related to your use of the Site, including lost profits or data. Gecko is not responsible for any harm from negligence, viruses, communication errors, or unauthorized access to Your information. Gecko is not liable for illegal acts by others affecting the Site, nor for any damage to Your equipment or personal injury resulting from Your use of the Site.

Miscellaneous

These Terms of Use constitute the entire agreement between Users of the Site and Gecko regarding the subject matter hereof. If you breach any of these Terms of Use, Gecko may pursue any legal or equitable remedy available, including but not limited to direct, consequential, and punitive damages and injunctive relief. Failure of Gecko to exercise any remedy or enforce any portion of these Terms of Use at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of these Terms of Use at any time thereafter. Users of this Site are responsible for compliance with all applicable regulations and laws. Any dispute arising out of the Terms of Use shall be governed by the laws of Delaware, notwithstanding any conflicts of law principles. Any action relating to these Terms of Use must be filed and maintained in a court in the state of Delaware, USA, and Users consent to exclusive jurisdiction and venue in such courts for such purpose.
